Terms & Conditions
A transparent breakdown of performance guidelines, service expectations, and project compliance rules when partnering with Adsphere Group.
Plain English Summary
By browsing our website, hiring our team, or processing an invoice, you accept these operational guidelines.
1. Acceptance of Terms
By accessing our website, purchasing our service packages, or entering into an active service contract with Adsphere Group ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. These parameters govern all client interactions, deliverable timelines, and legal expectations across our digital marketing and web development services.
If you disagree with any segment of these rules, you should immediately suspend active service requests or access to our web-based informational directories.
Plain English Summary
We provide design, development, SEO, and ad services. Project-specific scopes are detailed on individual invoices.
2. Scope of Services
Adsphere Group delivers structured technical solutions, including frontend storefront design, backend custom development, Shopify theme speed optimization, SEO auditing, and pay-per-click (PPC) media strategy. Specific milestones, budgets, and deliverable specs are mapped out within individual project statements of work (SOW) or electronic invoices.
Any expansion of features or secondary revisions requested beyond the defined milestone parameters will require updated budget estimates and revised project delivery deadlines.
Plain English Summary
To deliver on time, we need your active cooperation—such as providing media assets and prompt feedback.
3. Client Obligations
To maintain development schedules and secure ad launch dates, we require consistent, timely collaboration from our clients. Your obligations include:
- Providing accurate project context, branding requirements, high-resolution media, and clean access credentials.
- Securing intellectual licensing clearances for any third-party imagery, text, or trademark assets supplied to us.
- Providing clear, aggregated feedback on milestones within agreed timelines. We cannot be held accountable for launch delays caused by client review periods.
Plain English Summary
Flat-rate projects require advance payment. Performance guarantees are fully backed by standard metrics-based refunds.
4. Payment & Refund Policy
All service engagements are processed under transparent billing structures detailed on your project invoice:
- Flat-Rate Work: Structured offerings (such as our $149 speed optimization package) are billed up front to allocate development slots.
- Performance Guarantees: For services backed by a metrics guarantee, full refunds are processed if pre-project performance baselines are not met, provided no unapproved theme or app modifications occur during optimization.
- Retainers & Campaigns: Monthly recurring campaigns are billed in advance. Cancellations must align with the written notice criteria outlined in your active contract.
Plain English Summary
You own all custom designs and storefront code once paid for. We retain standard rights to display results in our portfolio.
5. Intellectual Property
Once your project balance is paid in full, ownership of the custom code adjustments, graphic designs, copy, and layout integrations transfers entirely to you. Adsphere Group retains the standard operational rights to:
- Feature optimized storefront screenshots, speed metrics, and campaign growth cases in our agency portfolio and case studies.
- Re-use generalized code snippets, utility loops, and standard CSS structural classes that do not contain your proprietary brand content.
Plain English Summary
We build to clean standards but aren't liable for external platform bugs, server issues, or algorithm changes.
6. Limitation of Liability
We optimize platforms in alignment with active web standards. However, we cannot accept structural liability for:
- Sudden search position drops, click fluctuations, or ad network suspensions driven by external search engines or social media policy updates.
- Storefront downtime, checkout failures, or API breaks resulting from legacy application conflicts or platform-level outages (such as Shopify server interruptions).
- Performance dips caused by unverified code adjustments executed by your team or third-party integrations following project completion.
